• Request for proposals are invited for Energy as a Service: Deployment of Distributed Pv Solutions across Colombia-S Rural Stores Scope of Work • Deliverable 1: The Service Provider shall be responsible for producing the following documentation: o Power Purchase Agreement whereby Colibri will provide and sell the energy to Bavaria, and o Power Purchase Agreement whereby Bavaria will provide and sell the energy to the 30,000 stores that sell their products. • Deliverable 2: The Service Provider shall be responsible for producing the following documentation: o Project document outlining the following information § Analysis of the Colombian energy market, limited to general publicly available information and the project; § Multicriteria analysis of the risks, justification of the project; § Status quo, the future, the risks, the benefits of the implementation of the project § Analysis of different project implementation alternatives in order to determine the best project execution scheme from a regulatory standpoint; § The main regulatory risks of the project, and relevant mitigation strategies; § Definition of the business structure; § Connection procedure, measurement system, commercialization (sale) of energy, invoicing, etc; § Identification of regulatory requirements for the developer of the projects; § Identification and applicability of incentives applicable to the project. o Drafting of an investment agreement, a collaboration agreement, or a joint venture agreement, depending on the selected business structure • Deliverable 3: The Service Provider shall identify, evaluate and recommend adequate insurance policies to for the (i) construction and (ii) operation and maintenance phases of the project. The deliverable shall be deemed complete upon the submission and validation of appropriate documentation providing expert advice on the specified topics. • Deliverable 4: The Service Provider shall provide expert advice on any issue inherent to national tax law that is associated with: (i) renewable energy projects; (ii) tax planning that optimizes the tax burden of the project; and (iii) obtaining tax incentives for renewable energy projects. The deliverable shall be deemed complete upon the submission and validation of appropriate documentation providing expert advice on the specified topics. • Deliverable 5: The Service Provider shall provide expert legal advice to certify and obtain carbon credits, international renewable energy certificates (I-REC) and other associated certifications. The deliverable shall be deemed complete upon the submission and validation of appropriate documentation required to certify and obtain carbon credits, international renewable energy certificates (I-REC) and other associated certifications. • Deliverable 6: The Service provider shall provide expert legal advice and develop the required documentation of the incorporation of the Special Purpose Vehicle (SPV).
